Expert Network Consultant Sentenced to 40 Months for Insider Trading Scheme

James Fleishman, a sales manager at expert network consultancy Primary Global Research (PGR), was sentenced in Manhattan Federal Court to 30 months in prison for his role in an insider trading scheme. Fleishman was found guilty of helping pass inside information about publicly traded companies to executives at several hedge funds so they could trade ahead of its public release. He had been convicted on 20 September 2011 after a three-week trial. Fleishman, 42, of Santa Clara, California, was also sentenced to two years of supervised release in addition to his prison term. Bloomberg Completes Acquisition of Kennedy Information Parent, BNA

MR - Bloomberg has completed its acquisition of Kennedy Information parent, the Bureau of National Affairs (BNA) in a cash deal valued at around $990 million. BNA is now a stand-alone wholly-owned subsidiary of Bloomberg and will be part of the Bloomberg Industry Verticals Group. The acquisition was accepted by the BNA employee owners who tendered around 95% of their stock within the 20 business day offering period. Bloomberg received an early termination of the waiting period under Hart-Scott-Rodino on 15 September. It appears clear that BNA Subsidiaries was taken into bankruptcy as a pre-condition to the Bloomberg transaction. The reorganized entity, now re-named Kennedy Information LLC, emerged from bankruptcy with a final decree closing the Chapter 11 bankruptcy case on 25 August, the day of the Bloomberg-BNA deal announcement. Kennedy Information was purchased by BNA out of bankruptcy, and again operates as a BNA subsidiary. Kennedy's coverage areas now include consulting, healthcare, laboratory diagnostics, fertilizer and commodity manufacturing. There is no word on what Bloomberg intends to do with Kennedy Information, but given the lack of continuity with that of Bloomberg it is unlikely to be retained. Kennedy Information Owner BNA Subsidiaries Emerges from Bankruptcy; BNA Agrees to be Acquired by Bloomberg

MR - Bloomberg has agreed to acquire Kennedy Information parent, the Bureau of National Affairs (BNA), for $39.50 per share in a cash deal valued at around $990 million. The transaction is expected to be completed before the end of the year. BNA appears to have taken BNA Subsidiaries into bankruptcy as a pre-condition to the Bloomberg transaction. The reorganized company, now re-named Kennedy Information LLC, emerged from bankruptcy with a final decree closing the Chapter 11 case on 25 August, the day the Bloomberg-BNA deal was announced. Bloomberg says it will make BNA a stand-alone subsidiary run by its current management. No layoffs at either company are anticipated in the short-term, but they expect reductions through attrition over time. BNA Subs had been facing a class action lawsuit asserting an estimated $15 million in claims. That case was dismissed with prejudice in a federal case related to the Bankruptcy on 15 July. MR - Forrester Research has acquired Springboard Research, a provider of research and advisory services focused on Asia Pacific and emerging markets. Springboard is headquartered in Singapore and has offices in New Delhi and Beijing, and is a former division of Knowledge Platform. While the transaction price would not be considered material for Forrester, it fits a strategic need in the area of Asia Pacific and emerging market research where the firm's depth had been limited. MR - Deltek has acquired Washington Management Group, its FedSources, and FedSources Consulting businesses for $26 million in an all cash transaction. WMG has been providing consulting and market intelligence services to government contractors for more than 25years. The firms say WMG has more than 900 clients and 20,000 users, and helps identify and validate more than 3,500 opportunities annually. Deltek will combine opportunity intelligence from FedSources with the content, community, and opportunity database from INPUT and GovWin, significantly enhancing its repository of government opportunity intelligence. The deal creates a global sourcing and shared services advisory firm serving clients across the Americas, Europe and Asia Pacific. The firms say the transaction is consistent with KPMG's growth strategy to focus on organic and inorganic opportunities in high-demand market sectors. Expert Network "Consultants" Charged in Alleged Insider Trading Scheme

MR - Consultants working as independent contractors and other employees of a Silicon Valley "expert network" firm have been indicted in an alleged scheme that channeled inside information from executives at some of the world's largest technology companies to hedge funds and other financial firms. The firm, Primary Global Research (PGR), is based in Mountain View, California and its early leadership team previously worked for IBM, Intel, Bell Labs, the Gerson Lehrman Group, Bear Sterns, Alex Brown, CSFB, AMD, and numerous other financial and technology firms. PGR itself was not indicted in the scheme, and five executives at financial and technology firms are cooperating in the investigation. PGR consultants also worked for some of the technology industry's leading firms, including Apple, Research In Motion, AMD, Dell, and Seagate. Defense Procurements to Dominate $142 Billion in 2011 U.S. Federal Contracts

INPUT - The top 20 contract opportunities planned by federal agencies for fiscal 2011 are dominated by procurements out of defense agencies, according to a new report from INPUT. According to the new report, Top 20 Federal Contract Opportunities, more than 80 percent of the approximately $142 billion in total contract value for 2011 will be associated with defense agencies. INPUT says another notable trend is increased prime contract opportunities for vendors, especially small businesses. Agencies are shifting a number of single-award contracts to multiple-award contracts; including, in some cases, setting aside a separate set of awards for small businesses of varying socioeconomic classes. Kennedy Information Parent Files for Bankruptcy Protection

MR - Kennedy Information parent, BNA Subsidiaries LLC (BNA Subs), has filed for U.S. Chapter 11 bankruptcy protection. BNA Subs was formed in January 2009 as the entity controlling consulting industry research and publishing firm Kennedy Information, Consulting Magazine, and information publisher IOMA. A restructuring announced by the parent company, the Bureau of National Affairs (BNA), in a 2009 10K filing involved shifting assets of certain business units to BNA less than a year before the bankruptcy filing. The transferred units included Pike & Fischer and certain IOMA operations. Kennedy divested its investor relations and corporate recruiting operations in 2009, and shut down one of its first publications, Executive Recruiter News, after more than 35 years of publication. One of the motivating factors for the bankruptcy was a class action lawsuit asserting $15 million in claims for alleged violations of U.S. communications laws involving unsolicited faxes. There is also litigation from one or more former independent contractors claiming denial of benefits and improper tax payments. MR - IT research and advisory services leader, Gartner, Inc., has agreed to acquire AMR Research, Inc. (AMR) for approximately $64 million in cash. AMR expects to finish 2009 with revenues of around $40 million. The research and advisory focus of AMR is directed primarily at supply chain executives that make decisions involving technology that improves supply chain productivity, and vendors serving those markets. AMR works with clients in discrete and process manufacturing, consumer products, life sciences, and retail. The firm's 40 research staff and 45 sales professionals will join Gartner when the transaction is finalized. Services will continue to be marketed to clients under the AMR brand, at least initially.
