Trial of Former McKinsey MD Delayed; Rajat Gupta Pleads Not Guilty to Additional Securities Fraud Charges

Former McKinsey & Company Managing Director, Rajat Gupta, pleaded not guilty to additional charges at his 7 February hearing on a superseding indictment involving additional securities fraud charges. The trial was delayed for 90 days, and is now on the docket of NY District Judge Rakoff for 21 May 2012. While prosecutors said at the hearing that they intended to file additional charges against Gupta in a subsequent indictment if the trial was delayed, Rakoff barred them from doing so. He will, however, allow additional allegations to be presented at trial as evidence if they contributed to the alleged fraud and conspiracy. Freddie Mac Consulting Contracts with Gingrich Group at Center of US Presidential Campaign Politics

The former consulting firm of US Republican Presidential candidate Newt Gingrich has released 1999 and 2006 contracts between Gingrich and US mortgage giant Freddie Mac (NYSE: FMCC). Gingrich relinquished ownership in his former consultancy in May 2010, after announcing his candidacy for US President. While Gingrich characterizes the work as strategy consulting, the Romney campaign has called it lobbying and influence peddling on behalf of Freddie Mac. Part of the scope of services in the 1999 agreement appears to support the Romney campaign's assertion. Arthur D. Little Completes Global Management Buyout; Again Owned By Partners

Arthur D. Little successfully completed its Management Buy-Out (MBO) with Altran Technologies on 30 December 2011. ADL, now in its 125th year in various forms, was founded in 1886 and was the world's first management consulting firm. The transaction returns ADL to a global private partnership, with all equity held by its Partners. The MBO deal includes all worldwide offices and retention of the Arthur D. Little brand. The firm says the financial commitment required from Partners was oversubscribed and Altran will provide vendor financing to support the firm's development in the years ahead. ADL now has around 1,000 staff serving clients in 20 countries. The firm provides services in the areas of strategy, technology and innovation. KPMG Advisory Practice Grows 2.5 Times Faster than Audit in 2011; $2 Billion Management Consulting Business Up 29%

MR - KPMG International's advisory practices grew at 14.76% in fiscal 2011, for the period ended 30 September. That was 256.7% faster than the firm's global audit businesses grew. KPMG says its global management consulting practices had fiscal 2011 revenue growth of 29% in US dollars and 24% in local currency terms. KPMG has built its $2 billion management consulting business in just six years. Its acquisition of EquaTerra in 2011 dramatically increased the firm's outsourcing and shared services advisory practice. Revenues increased across each of KPMG's geographic regions. Asia Pacific growth was 16.6% in US dollars. Americas revenues were up 10.7%. Europe, Middle East and Africa, including India, increased by 7.7%. Much of the geographic expansion occurred in high growth markets. India was up 25% and Brazil 22% in local currency terms. Consultancy Marketing Deal Brings down Publisher of the Wall Street Journal Europe

MR - Andrew Langhoff, Managing Director of Dow Jones & Co. Europe, Africa and the Middle East, and publisher of the Wall Street Journal Europe, stepped down recently after an internal investigation found that a marketing deal signed with Ann De Jaeger, and the HR strategy firm where she serves as a Partner, cast the editorial integrity of the WSJ Europe into question. Ann De Jaeger's firm, the Executive Learning Partnership, also purchased a large number of newspapers as part of the deal, which had the effect of inflating circulation numbers. The WSJ Europe published two articles on 14 March 2011 and on 14 October 2010 that appeared to be legitimate editorial content, but were associated with the marketing partnership, and for which Dow Jones had been compensated. MR - The forced departure of Leo Apotheker as Hewlett-Packard's controversial Chairman and CEO was expected. His replacement, however, Meg Whitman, was a surprise. Whitman's background includes holding onto the reigns of a massively successful eBay for 10 years after it had become one of the most successful start-ups in history; executive stints at Disney, FTD, Stride-Right and Hasbro; work as a strategy consultant and firm executive at Bain & Co.; and most recently, in a costly failed bid to become Governor of California. She has been on HP's board for less time than Apotheker was at the helm. That would be 11 months for Apotheker, if you count his first several months in hiding to avoid an Oracle subpoena in the SAP Tomorrow Now case. That litigation cost his former employer $1.3 billion, in the largest copyright infringement damages award in U.S. history by nearly a factor of ten. The transaction was an all-cash deal. SEC Dismisses Proceedings Against Former McKinsey Managing Director

MR - The US Securities and Exchange Commission (SEC) has dismissed all of its proceedings against former McKinsey & Co. Managing Director, Rajat K. Gupta. Gupta had been global Managing Director of McKinsey for close to 10 years, retiring in 2007. The SEC instituted public administrative and cease-and-desist proceedings against Gupta on 1 March 2011. A few weeks later, Gupta filed a civil action against the SEC in New York challenging its institution of the proceedings. Gupta had been seeking a declaratory judgment in his suit. The primary issue claimed in it was that the SEC chose an Administrative action, rather than a civil suit, as it did against the 28 other defendants associated with Galleon. Gupta also alleged the SEC violated his statutory and due process rights, and denied his right to a jury trial. The SEC said that it was in the public interest to dismiss. Booz Allen Hamilton Non-Compete with Booz & Co Expires; Registers to Conduct Business in the UAE

MR - The mutual non-compete agreement between Booz Allen Hamilton (BAH) and Booz & Co., which was signed as part of the separation of the firms three years ago, expired on 31 July. Booz Allen has now taken an initial step into the commercial and public services business outside the US by registering to conduct business in the United Arab Emirates (UAE). BAH leased office space in the Etihad Towers complex in Abu Dhabi as part of the expansion. It plans to have 50 staff in the region by the end of the current fiscal year. Booz Allen's initial commercial focus in the region will be on clients in finance, health care and energy. PRTM to be Acquired by PwC

MR - PwC has entered into a definitive merger agreement where it will acquire privately held PRTM, a global operations management and strategy consulting firm based in metro Boston. Assuming the transaction is successfully concluded, PRTM will join PwC's global Advisory practice. Much like the Diamond transaction, any acquisition faces unique challenges for a firm like PwC given its role as an auditor for many of the world's largest organizations. Clients must choose whether PwC's client work as an auditor or as a consultant and advisor is more important strategically. And this is a decision that PwC may have a different opinion on as it once again expands its advisory capabilities and pursues more sources of higher margin consulting and advisory work. Accenture Buys Stake in Saudi Arabian IT Services Firm

MR - Accenture will expand its Middle East presence by forming a joint venture with Saudi Arabia-based Al Faisaliah Group (FG). The deal calls for Accenture to acquire a majority stake in FG subsidiary, Al Faisaliah Business & Technology Company (FBTC). FBTC is a leading IT services firm in Saudi Arabia. Accenture expects the deal to close within 90 days. FBTC is a leading ERP solution provider in Saudi Arabia and offers integrated business and technology services to a wide range of clients in the region. Accenture plans to expand its offerings to clients in the Middle East by combining FBTC's enterprise architecture, systems implementation and technology consulting skills, with its own management and technology consulting competencies, industry expertise, innovation capabilities, and outsourcing and global delivery capacity. MR - CSC (NYSE: CSC) has acquired VIXIA Consultoria e Tecnologia Ltda., a Sao Paulo-based IT services firm that provides core operational systems, business consulting, and systems integration services to insurance, reinsurance and financial institutions in Brazil. Geraldo Cavagnari, President, VIXIA, and Wagner Antunes, sales director, will join CSC as Managing Directors within the firm's Brazillian Financial Services Group. CSC says its combination with VIXIA will offer the Latin American market a proven, global portfolio of financial services-centric applications and services, along with deep, local market and service delivery expertise. VIXIA was previously a CSC partner, and the deal allows CSC to quickly expand its leadership team and staff with significant experience and relationships with local insurers and banks. Rajat Gupta and Anil Kumar Ran Side Consulting Business While Serving as McKinsey Senior Partners

MR - A Bloomberg report has found that former McKinsey Managing Director, Rajat Gupta, and former McKinsey senior partner and Director, Anil Kumar, were running a side consulting business while executives at McKinsey. McKinsey was apparently unaware they had set up the private consultancy, Mindspirit LLC, in the names of their wives, Anita Gupta and Malvika Kumar. The report also says Gupta privately advised former GE subsidiary, Genpact Ltd., before he had retired from the firm, receiving options that remain unexercised and have a current value of around $1.3 million. Some details of McKinsey's new policy on client confidentiality are starting to emerge. The firm now prohibits consultants, support staff, spouses, and their children from investing in the securities of McKinsey clients, as well as former clients going back five years and prospective clients where the firm is actively seeking engagement. Employees are reportedly required to submit to a policy compliance "test" and will receive their bonus only if they score 100 percent. (650 words) . . . More

MR - Booz Allen Hamilton has signed a definitive agreement to sell its State & Local Government Transportation Consulting business to CH2M HILL, a global consulting, design, construction, and operations firm. Booz Allen says it is divesting its State & Local Government Transportation Consulting business to better align its contract portfolio with the firm's core federal government business. The deal calls for CH2M HILL to pay Booz Allen $28.5 million in cash, subject to certain adjustments. At the closing of the transaction, Booz Allen will begin to assign its current state and local contracts to CH2M. The deal is expected to close in the Q3 2011. (625 words) . . . More
Rajaratnam Guilty of Securities Fraud and Conspiracy; Wiretaps of Conversations with Former McKinsey Leaders Proves Key

MR - Galleon Management's former CEO, Raj Rajaratnam, has been found guilty on 14 counts of securities fraud and 5 counts of conspiracy. The 54 year-old faces a maximum sentence of 205 years in prison at his 29 July sentencing. Until then, he will be confined to his New York City residence, and was immediately fitted with a monitoring bracelet. Rajaratnam was convicted after an eight-week trial before U.S. District Judge Richard J. Holwell, which included jury complications that required substitution of one juror after more than a week of deliberations. The defense plans to appeal both the verdict and the introduction of U.S. FBI surveillance that included conversations with two high ranking former McKinsey executives, including its former global managing director, Rajat Gupta, and Anil Kumar, one of the firm's highest ranking principals and its first employee ever to be indicted since the firm's 1926 formation. Kumar testified at trial for the prosecution. His testimony proved instrumental in convicting Rajaratnam. Gupta continues to deny allegations against him for allegedly leaking confidential information about Goldman Sachs, and other publicly traded companies. MR - The Boston Consulting Group (BCG) has recently opened two new offices, in Tel Aviv and Perth, expanding its global facilities to 71 offices in 41 countries. It also announced plans to open a new office in Rio de Janeiro later in 2011. The announcements follow a strong 2010 for BCG, with the firm posting a double-digit gain in worldwide revenues despite the challenging economic environment.
