This Research Note includes the findings a client study of Human Resource (HR) consulting rate structures across a number of industries. More than 85 percent of the rates analyzed were from global entities, including a total of 45 firm-rate structures. All were from organizations that fall within the 1,000 largest global organizations. SEC Proposes Rules for Compensation Consultant and Advisor Selection and Conflict of Interest Disclosure

MR - The U.S. Securities and Exchange Commission is proposing a new rule and rule amendments to implement provisions of the 2010 Dodd-Frank Wall Street Reform and Consumer Protection Act (WSRCPA), adding Section 10C to the 1934 Exchange Act. The proposed rule requires the commission to adopt new disclosure rules concerning the use of compensation consultants and conflicts of interest. Section 10C also directs exchanges to establish listing standards that require each member of a listed company's compensation committee to be an "independent" member of its board, as defined in the listing standards of the exchanges adopted in accordance with the proposed rule. Vault has just published its latest list of the top consulting firms, the "Vault 2011 Consulting 50." This year's ranking is not based strictly on the "prestige" factor, which is a ranking of perceptions by consultants of firms other than the one they work for. That listing is still published, but as a separate ranking. Vault's overall 2011 ranking weighs culture, work/life balance; compensation; prestige; business outlook; and transparency. While the Vault rankings might help firms with their college recruiting efforts, the utility for clients is limited. But taking a contrarian view provides some interesting perspective. U.S. Bonus Payments for 2010 Remain Strong; Salary Levels to Increase Slightly

Buck - The majority of U.S. employers report their bonus payments in 2010 will be similar to what they paid in 2009, according to the results of a recent survey by Buck Consultants. Buck's survey found that pay increases for 2010 will average 2.2 percent, which exceeds 2009 levels but is slightly less than the 2010 projections made by companies in a July 2009 Buck study. One-third report making changes to the way they measure or reward employee performance. Thirty percent indicate they plan to use market-based salary adjustments to retain top performers. And more than 95 percent of participants have no plans to expand or implement bonuses for attracting and retaining employees, despite growing worker dissatisfaction. (685 words) . . . More
Xerox Completes Acquisition of ACS

MR - Xerox Corp. has completed the $5.6 billion acquisition of Affiliated Computer Services (ACS) and its Buck Consultants subsidiary, an agreement that was originally signed in September 2009. More than 96 percent of Xerox common shares voted in favor of the transaction at its shareholder meeting, with more than 86 percent of the voting rights of ACS shares approving the deal last week. Xerox expects its services revenues will grow to around $10 billion in 2010. ACS will be known as "ACS, A Xerox Company," at least initially. The subsidiary will continue to be led by Lynn Blodgett, now a Xerox Executive Vice President, who will report to CEO, Ursula Burns. Xerox-ACS Merger Takes Another Step Forward - Update 1

MR - The U.S. Hart-Scott-Rodino review period for Xerox's acquisition of Affiliated Computer Services (ACS) and its Buck Consultants subsidiary has expired. The expiration of the HSR waiting period satisfies one of the conditions for closing the acquisition. The transaction is still subject to other closing conditions, including EU regulatory approval and affirmation by ACS and Xerox shareholders. The transaction value has decreased by $1.71 billion to $5.54 billion, plus preferred shares and assumption of debt, since its disclosure 2 months ago due to the drop in Xerox's share price. In addition, Xerox and ACS have settled claims made in a consolidated action filed by ACS shareholders in Texas related to the acquisition. . . . More

Buck - Improving productivity by keeping employees healthy and working is emerging as the top global business objective for employer-sponsored wellness programs, except in the U.S. where healthcare cost is the most important factor, and Asia, where improving workforce morale is the most important factor. Stress was cited as the top health risk driving wellness programs globally, except for the U.S. and Latin America, where lack of exercise and poor nutrition are of primary concern. ACS to be Purchased by Xerox for $6.4 Billion

MR - Xerox Corporation and Affiliated Computer Services (ACS) have signed a definitive agreement for Xerox to acquire ACS and its Buck Consultants subsidiary in a cash and stock transaction valued at $63.11 per ACS share or $6.4 billion, using the closing price of Xerox shares on 25 September. Wall Street was not enthusiastic with the deal, and Xerox shares quickly retreated in value by as much as 20 percent at one point during the day on Monday 28 September from Friday's high. The transaction valued ACS at approximately 1x fiscal 2009 revenues at the time it was announced. The deal includes the refinancing of $2 billion in ACS debt.
