HP Ousts CEO and Chairman Leo Apotheker; Surprising Successor, Former Bain Consultant Meg Whitman

MR - The forced departure of Leo Apotheker as Hewlett-Packard's controversial Chairman and CEO was expected. His replacement, however, Meg Whitman, was a surprise. Whitman's background includes holding onto the reigns of a massively successful eBay for 10 years after it had become one of the most successful start-ups in history; executive stints at Disney, FTD, Stride-Right and Hasbro; work as a strategy consultant and firm executive at Bain & Co.; and most recently, in a costly failed bid to become Governor of California. She has been on HP's board for less time than Apotheker was at the helm. That would be 11 months for Apotheker, if you count his first several months in hiding to avoid an Oracle subpoena in the SAP Tomorrow Now case. That litigation cost his former employer $1.3 billion, in the largest copyright infringement damages award in U.S. history by nearly a factor of ten. Booz Allen Hamilton Non-Compete with Booz & Co Expires; Registers to Conduct Business in the UAE

MR - The mutual non-compete agreement between Booz Allen Hamilton (BAH) and Booz & Co., which was signed as part of the separation of the firms three years ago, expired on 31 July. Booz Allen has now taken an initial step into the commercial and public services business outside the US by registering to conduct business in the United Arab Emirates (UAE). BAH leased office space in the Etihad Towers complex in Abu Dhabi as part of the expansion. It plans to have 50 staff in the region by the end of the current fiscal year. Booz Allen's initial commercial focus in the region will be on clients in finance, health care and energy. RSA Security Acknowledges Lockheed Martin Cyber-Attack; Offers Replacement of SecureID Devices Used By 24,000 Clients Globally

MR - RSA Security has acknowledged that one of its clients, Lockheed Martin, was the subject of a cyber-attack employing information taken during a security breach of RSA's systems in March 2011. RSA confirmed that information taken in the March attack had been used as an element of the 21 May attack on Lockheed Martin, an attempted intrusion that Lockheed Martin said was thwarted. L-3 and Northrop Grumman have also reportedly been victims of associated attempted breaches. RSA says the unprecedented number of attacks perpetrated against Epsilon, Sony, Google, PBS, and Nintendo over the past several weeks are unrelated. Characteristics of the cyber attack, according to RSA, indicate that the perpetrator's motive was to obtain security information that could be used to target defense secrets and related IP, rather than to target financial institutions or other confidential consumer or commercial information. RSA will replace SecurID tokens for customers with concentrated user bases typically focused on protecting IP and corporate networks. The company is also offering advisory services to implement risk-based authentication strategies for consumer-focused clients with large, dispersed user bases like banks, that typically focus on protecting web-based financial transactions. There are now around 40 million SecureID devices in use by approximately 24,000 clients globally. 12 July update - Booz Allen Hamilton confirmed on 12 July that its network had been compromised and certain data files had been posted on the Internet. Booz Allen Hamilton to Sell State and Local Government Transportation Consulting Unit to CH2M for $28.5 Million

MR - Booz Allen Hamilton has signed a definitive agreement to sell its State & Local Government Transportation Consulting business to CH2M HILL, a global consulting, design, construction, and operations firm. Booz Allen says it is divesting its State & Local Government Transportation Consulting business to better align its contract portfolio with the firm's core federal government business. The deal calls for CH2M HILL to pay Booz Allen $28.5 million in cash, subject to certain adjustments. At the closing of the transaction, Booz Allen will begin to assign its current state and local contracts to CH2M. The deal is expected to close in the Q3 2011. (625 words) . . . More

Location-Based Rating Schemes for Consulting Services

MR - Some firms are willing to negotiate location-based rating schemes for strategic clients. So what are the average differences in rates for work provided exclusively at the client site when compared to rates for the same work provided at the firm site? Monadnock Research recently concluded an analysis of location-based rating (LBR) from more than 30 consulting firms that proposed 56 separate LBR schedules. Our study included analysis of 242 rate structures from 153 large and very large consulting firms providing services to the U.S. public sector to find those 56 schemes. Of the 153 firms, discounts were offered by 34 firms, primarily by level of professional providing services exclusively from the client facility. The study included rating schemes for IT Consulting, Management Consulting, Financial and Business Advisory Services, Human Resources Consulting, and Marketing Consulting. Oracle Reaches $46 million Settlement with U.S. Justice Department in 2004 Sun Systems Integrator Whistleblower Suit

MR - Oracle has agreed to pay $46 million to the U.S. to settle claims that Sun Microsystems, who completed its merger with Oracle a year ago, independently and in complicity with systems integrators, submitted false claims to the General Services Administration (GSA) and other federal agencies on its behalf. The settlement resolves allegations under the False Claims Act and Anti-Kickback Act that Sun paid systems integrators kickbacks to recommend the purchase of Sun products by federal agencies. It was also in the range predicted by MR in September 2010. According to the allegations in the original qui tam whistleblower suit, Sun executed agreements with consulting firms that provided for the payment of related fees. The suits were filed by Norman Rille and Neal Roberts in September 2004, and were intervened by the U.S. Justice department in April 2007. The settlement also resolves claims that Sun's 1997 and 1999 GSA contracts were improperly priced because Sun misrepresented information to GSA contracting officials during negotiations. It also settles claims that incomplete and inaccurate information submitted by Sun resulted in defective pricing of its contract with the U.S. Postal Service and GSA contracts held by two Sun resellers. The Sun kickback allegations are part of a larger, ongoing investigation of government technology vendors that has resulted in six settlements to date with firms that provide consulting and systems integration services. Booz Allen Hamilton Launches IPO at Low End of the Range

MR - Booz Allen Hamilton launched its much-anticipated initial public offering (IPO) of shares on the New York Stock Exchange, under the symbol BAH, on 17 November. They raised $238 million in the sale of 14 million shares priced at $17 each. That was at the low end of the $17 to $19 range estimated by bankers last week. The underwriters may still exercise their option to purchase an additional 2.1 million shares. Booz Allen Hamilton IPO Imminent

MR - The holding company for Booz Allen Hamilton is expected to have an initial public offering (IPO) of its stock during the week of 15 November. According to SEC filings, the firm will offer 14 million shares of Class A common stock in the IPO under the symbol BAH on the New York Stock Exchange. The IPO share price is estimated to be between $17.00 and $19.00 per share, which translates to between $238 million and $266 million to be raised in the offering. Counting an over-allotment allocation of 2.1 million shares, the potential value could be up to $306 million. MR - The U.S. Department of Justice (DoJ) has reached an agreement with Hewlett-Packard where HP will pay $55 million to settle allegations that it defrauded the General Services Administration (GSA) and other federal agencies. Previous guidance by HP estimated the amount at $47 million. HP has denied that it violated any laws in its settlement. The agreement, and the recent $87.5 million settlement involving EMC in an associated case, highlights the stiff penalty the DoJ is imposing on firms when they deny their failure to comply with Federal procurement guidelines for products and services. MR - The global commercial officers of Booz Allen Hamilton Inc. officially launched Booz & Company as "a premier global management consulting firm for businesses, government ministries and other organizations." London-based Shumeet Banerji, formerly President of the firm's global commercial business, was elected CEO of Booz & Company. Joe Saddi, based in the Middle East, will serve as Chairman of the new organization's 16 member Board of Directors. The firm will operate as a subsidiary of Booz Allen Hamilton until it is split out as a separate legal entity following the Carlyle acquisition of the U.S. government business. 16 May 2008 - Private equity firm the Carlyle Group has agreed to acquire a majority stake in Booz Allen Hamilton's U.S. government consulting business for $2.54 billion. The company will split off its commercial and other non-U.S. businesses into a stand-alone firm. That operation will likely be named Booz & Company, and will be owned and operated by its commercial officers.
